Terms of Service

HourVille aims to maintain the highest quality service. All members must agree to HourVille's Terms of Service:

1. Introduction

Welcome to HourVille. By using HourVille's Services, you agree to the terms and conditions listed below as well as those of any of our affiliates. Prior to becoming a member of HourVille, you must read and accept the terms and conditions of both this User Agreement as well as the HourVille Privacy Policy. HourVille reserves the right, at its sole discretion, to amend this User Agreement in part or in its entirety at any time and such amendments or modifications will become effective immediately upon posting to the HourVille website. It is your responsibility to check the website regularly for any changes or modifications. If at any time this User Agreement (or any changes thereto) becomes disagreeable to you, your only recourse is to desist from using the HourVille website. Additionally, HourVille may discontinue its Service at any time without notice to you.

2. Limitations on Use

As a user of HourVille, you:

• certify that you are at least 18 years of age, are of sound mind and judgment and that you are not a convicted felon;
• commit to posting schedules and Services that you can reasonably expect to fulfill;
• will use any contacts made through HourVille exclusively for professional purposes and will not in any way harass anyone.

Furthermore, you will not:

• post content that is illegal, defamatory, libelous, inaccurate, offensive, misleading, malicious, or harassing in any way;
• attempt to regain access to HourVille?s site if you are indefinitely suspended;
• attempt to circumvent HourVille?s fee structure and/or make arrangements with either [Buyers] or [Sellers] in order to avoid paying HourVille's fees;
• engage in "bulk postings" by which you seek to post multiple unique listings as if each were a separate individual [Seller];
• upload any viruses or other harmful or malicious software technology that might harm HourVille or its users;
• take part in any subversive activities which attempt to undermine HourVille?s feedback and rating systems;
• hack, alter or attempt to alter any aspect of HourVille's website other than the specified fields or content which are specifically made available to you;
• attempt to infiltrate or gain unauthorized access to HourVille's website or database;
• share, disseminate or otherwise pass on your HourVille account to another party without HourVille's express permission.

HourVille expends considerable effort to keep its site functioning properly and within the confines of local and federal laws. Without limiting other remedies available to it, HourVille reserves the right to prohibit access to the site, remove offensive content and/or report suspicious content or postings to the relevant authorities. You agree that HourVille will not be liable to you or others for any termination of access to the website.

3. No Agency and Proprietary Rights.

Even though you may elicit or transact business on HourVille, no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms of Service. Furthermore, the Service is protected to the maximum extent permitted by copyright laws and international treaties. Content displayed on or through our website is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the site or the collective work, and/or copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of HourVille.

4. Limitations on Service

HourVille may restrict the use of its Services by limiting the number and size of postings, email messages, or other information that may be transmitted or stored by HourVille. By using the Service, you consent that HourVille has no responsibility or liability for the deletion or failure to store any of your information. You further consent that HourVille reserves the right at any time to modify or discontinue its Services with or without notice.

5. Release and Indemnity

If you have a dispute with one or more users, you release HourVille (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code #1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." You will indemnify and hold HourVille (and its officers, directors, agents, subsidiaries, joint ventures and employees), harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this User Agreement, or your violation of any law or the rights of a third party.

6. DISCLAIMER OF WARRANTIES:

Your use of the Service is at your OWN risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. HourVille expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability or fitness for a particular purpose. HOURVILLE makes no warranty that (a) the Service will meet your requirements, (b) the Service will be uninterrupted, timely, secure, or error free, (c) the results that may be obtained from the Service will be accurate or reliable or (d) that any errors in the Service will be corrected. HOURVILLE makes no warranty regarding any services, or opportunities, or the delivery of any services or opportunities, which are obtained through HOURVILLE. Any Information obtained in any way through HourVille?s Service is received at your own risk and you will be responsible for any damage to you from of any such Information, business or other transactions. No advice or information, whether oral or written, obtained by you from HOURVILLE or through its Service shall create any warranty not expressly stated herein. In the event your jurisdiction does not allow the disclaimer of implied warranties, some of the foregoing disclaimers may not apply to you insofar as they relate to implied warranties.

7. LIMITATION OF LIABILITY

Under no circumstances, including, but not limited to, negligence, shall HOURVILLE be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits or other intangible losses resulting from the use or the inability to use the Service for any reason; the cost of procurement of substitute services; any services purchased or obtained or Information received or transactions entered into through or from the Service; unauthorized access to or alteration of your Information or data; statements, conduct, or Information of any third party on the Service; or any other matter relating to our Services.
